Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Themis website and services (the "Service") operated by Themis ("us", "we", or "our").
1. Agreement to Terms
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.
2. Description of Service
Themis provides an AI-powered resume optimization service that helps users improve their resumes for Applicant Tracking Systems (ATS). Our Service analyzes job postings, extracts relevant keywords, and rewrites resume content to improve compatibility with automated screening systems.
3. User Accounts
When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Credit System and Payments
- Credits are used to generate optimized resumes and cover letters.
- New users receive the Free tier with 3 resumes and 3 cover letters per month upon registration.
- Additional credits can be purchased through our payment system.
- All credit purchases are final and non-refundable. Credits are digital goods that are delivered immediately upon purchase.
- Credits do not expire and remain in your account until used.
- We reserve the right to modify credit pricing at any time.
5. No Refund Policy
Due to the digital nature of our product and immediate delivery of services, all purchases are final and non-refundable. By purchasing credits, you acknowledge that:
- Digital goods are delivered immediately upon purchase
- No refunds will be provided for unused credits
- No refunds will be provided for generated content you are dissatisfied with
- If you experience technical issues, please contact support and we will work to resolve them
6. User Content and Responsibility
You retain ownership of all content you upload to our Service, including resumes and personal information. You are solely responsible for:
- The accuracy and truthfulness of information in your resume
- Reviewing all generated content before submission to employers
- Ensuring generated content accurately represents your qualifications
- Any consequences resulting from submitting optimized resumes to employers
7. AI-Generated Content Disclaimer
Important: Our AI optimization tool rewrites and restructures existing content. While we strive to maintain accuracy:
- We do not guarantee any specific results, including interview callbacks or job offers
- AI-generated content should be reviewed and verified by you before use
- We flag content requiring verification, but final responsibility lies with you
- We do not guarantee compatibility with all ATS systems
- Results may vary based on job market conditions, qualifications, and other factors
8. Prohibited Uses
You agree not to use the Service to:
- Create fraudulent or misleading content
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Attempt to gain unauthorized access to our systems
- Use automated means to access the Service without our permission
- Resell or redistribute our services without authorization
9. Subscription Terms
If you subscribe to a paid plan:
- Billing Cycles: Subscriptions are billed on a recurring basis (monthly or annually), starting on the date of your initial purchase. You authorize us to charge your payment method on each billing date.
- Auto-Renewal: All subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel at any time from your account settings.
- Downgrades and Cancellations: If you downgrade or cancel, the change takes effect at the end of your current billing period. You will retain access to your current plan features until then. No prorated refunds are issued for partial billing periods.
- Founding Member Lifetime Plans: Founding Member plans are one-time purchases that grant lifetime access to the specified tier benefits. "Lifetime" means for the duration that Themis operates the Service. If Themis discontinues the Service entirely, Founding Members will receive at least 30 days' notice.
- Price Changes: We may change subscription pricing at any time. Existing subscribers will be notified at least 30 days in advance and may cancel before the new pricing takes effect.
10. Limitation of Liability
To the maximum extent permitted by law, Themis and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, data, or other intangible losses
- Any failure to obtain employment or interviews
- Any damages resulting from reliance on AI-generated content
- Any third-party claims arising from your use of the Service
In no event shall our total liability exceed the amount you paid for the Service in the 12 months preceding any claim.
11. Indemnification
You agree to defend, indemnify, and hold harmless Themis and its affiliates from any claims, damages, losses, or expenses (including attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Service Availability
The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, secure, or error-free at all times. We make no warranties, express or implied, regarding the Service, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We may perform scheduled or emergency maintenance that temporarily limits Service availability. We will make reasonable efforts to provide advance notice of scheduled maintenance when possible.
13. Intellectual Property
- Your Content: You retain all intellectual property rights to the content you upload to the Service (your original resume, personal information, and supporting materials).
- Generated Output: You own the AI-optimized resumes and cover letters generated by the Service. You may use them freely for their intended purpose (job applications).
- Our Service: All rights to the Themis platform, including its software, algorithms, design, branding, and documentation, remain the exclusive property of Themis. Nothing in these Terms grants you any right to our intellectual property beyond the limited license to use the Service as described herein.
- Feedback: If you provide suggestions, ideas, or feedback about the Service, we may use them without restriction or compensation.
14. Age Restriction
You must be at least 16 years of age to use this Service. If you are under 18, you represent that you have your parent or guardian's consent to use the Service. In the United States, you must be at least 13 years of age under COPPA. We do not knowingly collect personal information from anyone under the age of 13.
15. Service Modifications
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
16. Termination
We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:
- Your right to use the Service will cease immediately.
- Any unused credits will be forfeited.
- Active subscriptions will be cancelled, and no prorated refunds will be issued.
- You may request export of your data prior to termination taking effect, where feasible.
17. Dispute Resolution and Arbitration
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law provisions.
Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in the State of Texas, and may be conducted remotely (by telephone, video, or written submission) at your election.
Class Action Waiver: You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding.
Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.
Opt-Out: You may opt out of this arbitration provision by sending written notice to support@themis.careers within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts located in the State of Texas.
18. Force Majeure
Themis shall not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from events beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, epidemics or pandemics, government actions, power failures, internet or telecommunications outages, cyberattacks, labor disputes, or acts of God. During any such event, our obligations under these Terms will be suspended for the duration of the event.
19. Severability
If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Themis regarding the Service and supersede all prior or contemporaneous agreements, understandings, and communications.
21. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes at least 30 days in advance via email or through a prominent notice on the Service. Continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree with the modified Terms, you must stop using the Service.
